TellMyShop Partner Program Terms

These terms describe the TellMyShop Partner Program: who can join, how much commission partners earn, and how we calculate and pay it. The program is for businesses only. It does not cover buying a licence – purchases are governed by the Terms of Sale and the Licence Agreement (EULA).

1. Organiser and definitions

1. The Program is run by SEMownia Szymon Sanecznik, ul. Twarda 44, 00-831 Warszawa, Poland, VAT ID PL6422931698 (the "Organiser", "we").
2. Definitions:
   • Partner – a business accepted into the Program;
   • Partner link – an address on tellmyshop.com that carries the Partner's identifier;
   • Licence – a TellMyShop Pro licence bought on tellmyshop.com: a new plan, an update renewal, an extra domain or an upgrade to a higher plan;
   • Net price – the price of the Licence from the price list, excluding VAT and other taxes;
   • Partner dashboard – the Partner's account on Affonso, where the Partner sees their Partner link, sales and commissions.

2. Who can join

1. Only businesses can become Partners: a company or sole trader with a Polish tax number (NIP) or an EU VAT number. Private individuals cannot join.
2. Applications are made through the form on the Program page. We review every application by hand and may decline without giving a reason.
3. Accepting an application creates an agreement to take part in the Program on these terms, for an indefinite period.

3. Commission

1. The Partner earns 25% of the Net price of every Licence bought by a person who clicked the Partner link within 90 days before the purchase.
2. If the buyer clicked the links of several Partners, the commission goes to the Partner whose link was clicked last.
3. No commission is due for:
   1. a Licence for the Partner, their partners, employees or related companies;
   2. a purchase that was refunded, cancelled or disputed (chargeback);
   3. a purchase obtained in a way prohibited by section 6.
4. A buyer who comes through a Partner link pays the price from the price list. The Program does not give discounts.

4. How we attribute a purchase to a Partner

1. When someone clicks a Partner link, we store an affonso_referral cookie with the Partner's identifier in their browser for 90 days. We store it only if the visitor accepts marketing cookies.
2. Without that consent, after cookies are deleted, or when the purchase is made on another device or browser, the purchase may not be attributed to the Partner. We are not liable for such cases.
3. The data in the Partner dashboard and in the payment system used to sell the Licence are decisive.

5. Approval and payout

1. A commission is pending for 30 days after the purchase. If the buyer receives a refund or opens a payment dispute during that time, the commission lapses. After 30 days the commission is approved and owed to the Partner.
2. Once a month, by the 10th, we prepare a statement of commissions approved in the previous month.
3. We pay out when approved commissions total at least 200 PLN (Partners paid in złoty) or €50 (Partners paid in euro). A smaller amount is carried over to the next month.
4. The Partner issues an invoice to us for the amount in the statement. A Partner from another EU country issues an invoice without VAT under the reverse-charge mechanism.
5. We pay by bank transfer to the account on the invoice within 14 days of receiving a correct invoice.
6. The Partner is responsible for taxes on their commissions.

6. Promotion rules

1. The Partner promotes TellMyShop truthfully and in line with the description on tellmyshop.com. The Partner does not promise sales results, search engine rankings or features the product does not have.
2. The Partner must not:
   1. bid on "TellMyShop" or its variations in search engine ads, or use domains and profiles containing the name TellMyShop;
   2. publish the Partner link on coupon or discount-code websites;
   3. send marketing messages to people who have not agreed to receive them (including unsolicited email), or post spam in groups and comments;
   4. pose as the Organiser.
3. Any publication with a Partner link is advertising. The Partner labels it at the start as "Ad" or "Paid partnership with TellMyShop" (in Polish: „Reklama” or „Współpraca reklamowa z TellMyShop”) and, where the platform allows it, also uses the platform's paid-partnership label.
4. We may ask the Partner to correct a publication. Until it is corrected, we may withhold commissions on purchases that came from it.

7. Demo licence

1. An accepted Partner may receive one free Shop licence for their demo shop for as long as they take part in the Program.
2. The demo licence ends when the Partner leaves the Program.

8. Personal data

1. In the Partner dashboard the Partner sees the purchase date, plan, Net price and commission status. The Partner does not see the buyer's data.
2. The Partner dashboard and purchase attribution are run by Affonso, which processes data on our behalf.
3. We process the data of the Partner's contact persons to perform the Program agreement and for settlements (Article 6(1)(b) and (c) GDPR). Details: Privacy Policy.

9. Leaving the Program

1. The Partner may leave at any time by writing to support@tellmyshop.com.
2. We may end a Partner's participation with 14 days' notice, or immediately if the Partner breaches section 6.
3. Commissions approved before participation ends are paid under section 5, unless participation ended because of a breach of section 6.

10. Changes and final provisions

1. We may change these terms by informing Partners by email at least 14 days in advance. A change does not affect commissions on purchases made before it takes effect.
2. We may end the Program with 30 days' notice.
3. These terms are governed by Polish law. Disputes are resolved by the court competent for the Organiser's registered office.
4. These terms apply from the day they are published on tellmyshop.com.
